CushionRank

Terms

Version 2, in effect from October 22, 2026.

1. Who we are. CushionRank is a business name of Helmswick Systems Inc., an Ontario corporation, 1025 King Street East, Unit 107-2519, Cambridge, Ontario N3H 3P5, Canada. Email support@cushionrank.com. "We" means Helmswick Systems Inc. "Our people" means its directors, officers, employees and contractors. These terms apply to every report and every corpus file you buy from us. By ticking the box at checkout you agree to them.

2. What a report is. A report is one web page about one broker-dealer's audited annual report on Form X-17A-5 Part III, as filed with the SEC on EDGAR and identified by its accession number. It contains figures read from the filing, each with its page and a link to the filing; sentences the filing contains, quoted; ratios and peer placements we computed from those figures, labelled computed with their formula; and the same plain-language explanations in every report. A language model reads the filing, and we check the reading as /methodology described it on the day you bought. That page also publishes our measured error rates. The price is US$99 for one firm and one filing year. On payment we email you a link that works for 12 months, and you can print the page to PDF.

3. What a report is not. A report is not investment, legal, accounting, tax or regulatory advice, is not tailored to you, and is not a credit rating, a consumer report, or an opinion on the firm, its solvency or its compliance. The report relies on the filing, an official record filed with the SEC. We do not audit or verify it: if the filing is false or inaccurate, the report repeats it. We do not update a report for anything after the filing's date. The explanations of rules are general summaries, and the rules themselves govern. We have no connection with the firm, its auditor, FINRA or the SEC, we hold no interest in any firm named, and we take no payment from one beyond the usual price of a report. Every buyer gets the same report. Anyone you share yours with relies on it at their own risk.

4. Check before you rely. Every figure read from the filing links to the page it came from. Before you rely on a figure for a transaction, a filing, advice to others or any decision with money at stake, check it against that page. If a page link does not show the figure, tell us, and do not rely on the figure. Where a report says a statement is absent ("None"), that is what our reading of the parts named found, not a guarantee that the filing contains no such statement. Where it matters, read those parts yourself. The report is one input to your own review.

5. Errors and refunds. If you think a report is wrong, email support@cushionrank.com. We re-read the filing promptly, usually within two business days. Every correction is dated and your link shows the corrected report. If it changes a figure, a flag, a placement or a classification, whether you told us or our own checks found it, we also email every buyer of that report saying what changed. A correction does not itself refund anyone. You can have a refund for any reason within the 12 months your link works, without giving one first. A refund switches your link off. A refund, or the corrected report, is your remedy for an error in a report, except where clause 8 says otherwise. A firm named in a report may dispute any statement of fact in it at support@cushionrank.com, and may buy its own report at the usual price.

6. No other promises. WE PROVIDE REPORTS AS DESCRIBED IN CLAUSE 2 AND MAKE NO OTHER PROMISE ABOUT THEM. TO THE EXTENT THE LAW ALLOWS, WE AND OUR PEOPLE EXCLUDE ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR ACCURACY.

7. Limit on liability. TO THE EXTENT THE LAW ALLOWS: (a) the total liability of us and our people together, to you, for everything arising out of or relating to a report, whether in contract, tort (including negligence and negligent misrepresentation), under statute or otherwise, is limited to the amount you paid for that report; and (b) neither we nor our people are liable for any loss of profit, revenue, business, opportunity or bargain, any amount paid or not received in a transaction, or any indirect or consequential loss, even if told it was possible. This clause does not limit liability for fraud or wilful misconduct, or any liability that the law does not allow to be limited. Our people may rely on clauses 6, 7 and 9 as if they were parties to these terms.

8. If you are a consumer. If you buy a report as an individual for personal, family or household purposes, nothing in these terms limits any right you have under consumer protection law that cannot be waived or limited by agreement, including under Ontario's Consumer Protection Act, 2002. Where such a law applies, clauses 6, 7 and 9 apply only as far as that law allows, and you may bring a claim in any court that law allows, including as a member of a class.

9. Law, courts and time. These terms, and any dispute about a report, are governed by the laws of Ontario and the federal laws of Canada that apply there. Except as clause 8 allows, any claim must be brought in the courts of Ontario sitting in Toronto, and you and we agree to their jurisdiction. Either of us may bring a claim within its monetary limit in the Ontario Small Claims Court. There is no arbitration. If you are not a consumer, any claim about a report must be started within one year after the report was delivered.

10. The filings. The filings a report reads are public records on the SEC's EDGAR system. We did not create them and cannot remove or change them.

11. These terms. The version of these terms you accepted at checkout, which your delivery email links to, applies to your report. We may change these terms for future purchases. If a court finds part of a clause unenforceable, the rest of it and the other clauses still apply. These terms, with the order details in your delivery email, are the whole agreement about a report.

12. The corpus file. The corpus file is one dated edition of the figures, quoted sentences, flags, computed ratios and peer placements for every firm with a page on cushionrank.com, as one file with a guide to its columns, identified by its corpus version. The price is US$1,450 for one edition, and we email it to you. You may use it within your own organisation, and share it with your professional advisers for your own purposes. You may not sell, license, publish or give the file, or a substantial part of it, to anyone else. Nothing in this clause stops you quoting or describing what the file says about a firm. Clauses 3 to 11 apply to the corpus file as they do to a report, with this clause in place of clause 2 and two differences. There is no refund for the corpus file. And we do not change a file once sent: a correction that changes a figure, a flag, a placement or a classification goes by email to every buyer of that edition as a corrected file, which is your remedy for an error in the file, except where clause 8 says otherwise.
